General Terms of Payment
Tracifier INC – Minaz Media (“Seller”)
We acknowledge with thanks your order. We are prepared to accept this order only if you agree to the following terms and conditions. Any order you send to us will be regarded solely as identifying the products and services being purchased, and not as a document that adds to or modifies these terms and conditions. All other terms and conditions in your order are expressly rejected. If any of the following terms are not acceptable to you, please notify us promptly. Otherwise, your order will be deemed acceptance of these terms and conditions and we will proceed accordingly.
Custom pricing and alternate conditions may be negotiated on request but shall apply only if signed by a President or Director of Minaz Media.
1. Scope and Effectiveness
These terms apply to all deliveries of goods, services, technical data, and support (“Products”) offered by Minaz Media. The Buyer’s order becomes binding upon delivery of the Product. Failure to object in writing within ten (10) days constitutes acceptance of these terms. Any additional or different terms proposed by Buyer are void and not binding.
2. Price and Payment
Quoted prices reflect current rates. Minaz Media reserves the right to adjust prices due to raw material costs or volume changes, with notice. Standard payment terms are net 30 days from invoice. Late payments incur a 1.5% monthly interest charge.
3. Photo & Video Delivery
Photos – Delivered within 24 hours of the scheduled session (except for sessions done on Fridays — those will be delivered on Monday).
Videos – Delivered within 48 hours of the scheduled session (except for sessions done on Fridays — those will be delivered on Monday unless otherwise specified in the project scope).
4. Security & Liability
Minaz Media, its team members, videographers, photographers, and administrative staff bear no responsibility or liability for the loss, theft, or damage of any personal belongings, valuables, or property during the course of our work on-site. It is the sole responsibility of the real estate agent, homeowner, or authorized representative to secure and safeguard all personal items prior to the session.
5. Shipping and Delivery
Delivery dates are estimates. Minaz Media is not liable for delays due to events beyond its control, such as strikes, natural disasters, or transportation issues. In such cases, delivery times will be extended accordingly.
6. Security Title
Minaz Media retains title and ownership of all Products until payment is received in full. Buyer agrees to take necessary steps to maintain this security interest.
7. Taxes
Quoted prices exclude all taxes unless otherwise specified. Buyer is responsible for any applicable federal, provincial, or local taxes, unless a valid exemption certificate is provided.
8. Product Approval and Use
For custom strategies or services, Buyer must approve Minaz Media’s proposal in writing before work begins. Rejected services or partial use are held at Buyer’s risk and expense. Implementation of provided strategies is the sole responsibility and decision of the Buyer.
9. Changes
Buyer may request changes in writing. Any changes, including to quantity, scope, or quality, require written acceptance by Minaz Media. Buyer is responsible for any additional charges resulting from such changes.
10. Revisions and Refund Policy for Creative Work
10.1 Revisions – For all photo and video projects, Minaz Media provides one (1) complimentary revision after the initial delivery. Any additional revisions requested by the Buyer will be subject to additional charges, which will be quoted and agreed upon before work continues.
10.2 Refunds – Due to the subjective nature of creative work, Minaz Media does not offer refunds once a project has been delivered. We recognize that creative output is inherently tied to individual taste; therefore, dissatisfaction with creative style, design choices, or artistic direction is not considered a valid reason for a refund. Our team will make reasonable efforts to address feedback during the included revision process, but once work is delivered, no refunds will be issued on the basis of “not liking” the work.
11. Termination and Breach
Buyer may cancel any order before shipment by written notice and must cover all costs and expenses incurred up to that point. Minaz Media may cancel at any time for any reason. If cancelled due to Buyer’s default, Minaz Media may pursue full legal remedies.
12. Financial Responsibility
If Minaz Media deems Buyer’s financial status to be at risk, it may request advance payment or other financial guarantees. Failure to comply may result in cancellation or resale of undelivered Products, with Buyer responsible for any resulting loss.
13. Limited Warranty and Liability
(a) Minaz Media provides no express or implied warranties regarding its Products.
(b) Minaz Media is not liable for damages resulting from misuse or improper implementation of its services. Liability, if any, is limited to consulting assistance to mitigate the issue.
14. Patents and Trademarks
Buyer agrees to indemnify Minaz Media from any claims of patent or trademark infringement related to Buyer’s designs or specifications. No implied patent license is granted with the sale of Products.
15. Legal Fees
If legal action is required to recover payment or enforce terms, Buyer agrees to pay Minaz Media’s reasonable legal fees and costs.
16. Force Majeure
Minaz Media is not liable for non-performance due to events beyond its control, including natural disasters, government regulations, or supply shortages. In such cases, obligations may be modified or suspended without liability.
17. Tools and Intellectual Property
All tools, designs, concepts, and intellectual property used or developed by Minaz Media remain its exclusive property unless otherwise agreed in writing.
